Terms of Service

These terms of service (“Terms”) constitute a contract between you (“Customer” or “User”) and Bontake Pte. Ltd., a company incorporated in Singapore, having its registered office at 36 Carpenter Street, #02-01 Carpenter Haus, Singapore 059915 (“Bontake”, "we", "us" and/or "our") and govern the use of our website at https://bontake.com (“Website”) and/or Bontake technological platform (made available by mobile application and web interface) managed by Bontake that makes reference to these Terms (the "Applications") and the Service (as defined below). The Website and Applications shall be collectively referred to as the “Bontake Platform”.

By signing up online, creating an account, and/or by accessing or using the Service and/or Bontake Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service, or continue accessing the Bontake Platform.

We reserve the right, in our sole discretion, to amend and revise these Terms at any time, without prior notice. Any such amendments will become effective immediately upon posting to the Bontake Platform and will supersede any prior versions. Your continued use of the Bontake Platform and Service will constitute your acceptance of these Terms and any subsequent amendments.

1. DEFINITIONS

“Agreement” means these Terms together with our Privacy Policy.

“Customer” means the legal entity or individual who registers an account on the Bontake Platform.

“User” means an individual authorised by the Customer to use the Service, including employees, contractors, and administrators.

“Service” means the business management software-as-a-service platform offered by Bontake, including expense management, approvals, accounting, HR, analytics, and related features.

“Customer Data” means all information, content, and data submitted by Users or Customer to the Bontake Platform.

2. SERVICE

Bontake provides access to its cloud-based business management platform. The Service may include, but is not limited to:

  • Expense & Payable Management
  • Approvals and financial governance
  • Accounting engine with general ledger and reconciliation
  • HR hub including payroll and leave management
  • AI-powered analytics and automation

Bontake reserves the right to modify or discontinue features without liability, provided core functionality remains substantially available.

3. LICENSE

Subject to these Terms, Bontake grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Bontake Platform for your internal business purposes. You may not reverse engineer, resell, or misuse the Service.

4. CUSTOMER RESPONSIBILITIES

You agree to:

  • provide accurate information during signup and maintain account security;
  • ensure only authorised Users access the Platform;
  • comply with all applicable laws and regulations;
  • be responsible for Customer Data accuracy and legality;
  • ensure Users comply with these Terms.

5. FEES AND PAYMENT

Some features of the Service may be offered free of charge, while others require payment. Pricing, subscription tiers, and billing cycles are displayed during online signup.

Fees are payable in advance and are non-refundable, unless otherwise required by law.

Bontake may suspend or terminate access if payments are overdue.

Taxes, where applicable, will be charged in addition to the stated fees.

6. TERM AND TERMINATION

These Terms remain in effect as long as you maintain an account with Bontake. Either Party may terminate the Agreement:

  • By closing your account at any time;
  • By Bontake, with notice, if you materially breach these Terms;
  • Immediately if required by law or for security reasons.

Upon termination, access to the Platform will cease, but certain obligations (such as confidentiality and payment of outstanding fees) will survive.

7. INTELLECTUAL PROPERTY

All rights, title, and interest in the Bontake Platform, including software, trademarks, logos, content, and technology, are owned exclusively by Bontake. These Terms do not grant you any intellectual property rights except the limited license in Section 3.

Customer retains ownership of Customer Data. By submitting Customer Data, you grant Bontake a worldwide, royalty-free, non-exclusive license to host, process, and use such data solely to provide and improve the Service.

8. DATA PRIVACY & SECURITY

Bontake processes personal data in accordance with its Privacy Policy, available at https://bontake.com/legal.

We implement appropriate technical and organisational measures to safeguard Customer Data. However, you acknowledge that no system is completely secure and Bontake does not guarantee absolute data security.

9. CONFIDENTIALITY

Each Party shall keep confidential all non-public information obtained from the other Party in connection with the Agreement, and shall not disclose it to third parties without prior written consent, except as required by law.

10. DISCLAIMER OF WARRANTIES

The Service is provided “as is” and “as available.” Bontake disclaims all warranties, whether express, implied, or statutory, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • Bontake shall not be liable for any indirect, incidental, consequential, special, or punitive damages;
  • Bontake’s total aggregate liability under these Terms shall not exceed the fees paid by Customer to Bontake in the twelve (12) months preceding the claim.

12. INDEMNIFICATION

Customer agrees to indemnify, defend, and hold harmless Bontake, its directors, officers, employees, and agents from and against any claims, damages, or expenses arising out of:

  • Customer’s or User’s use of the Service;
  • violation of these Terms; or
  • infringement of third-party rights caused by Customer Data.

13. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of Singapore.

Any dispute shall first be attempted to be resolved amicably. If unresolved within thirty (30) days, disputes shall be referred to arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC). The arbitration tribunal shall consist of one arbitrator, and the proceedings shall be in English.

Notices are deemed received when sent by email, unless returned as undeliverable.
